1. Agreement to Terms
These Terms of Service (“Terms”) govern your use of the website jrsecuredesign.com (the “Site”) and the web design, development, and security services (the “Services”) provided by JR Secure Design (“we,” “us,” or “our”). By accessing the Site or engaging our Services, you agree to be bound by these Terms. If you do not agree, please do not use the Site or Services.
2. Services
We provide professional web design, development, maintenance, and website security services. The specific scope, deliverables, timeline, and fees for client projects are defined in a separate proposal, quote, or agreement provided to each client. In the event of a conflict between these Terms and a signed client agreement, the client agreement controls.
3. Quotes, Payment, and Fees
Quotes are valid for 30 days unless otherwise stated. Unless agreed otherwise in writing: a deposit may be required before work begins; invoices are due upon receipt; and late payments may result in suspension of work or services. All fees are quoted in U.S. dollars unless specified otherwise.
4. Client Responsibilities
You agree to provide timely access to content, materials, credentials, and feedback reasonably needed to perform the Services. You represent that any materials you provide (text, images, logos, etc.) do not infringe the rights of any third party and that you have the authority to use them.
5. Intellectual Property
Upon full payment, you receive ownership of the final website deliverables created specifically for your project, except for third-party components (such as themes, plugins, stock assets, and open-source software), which remain subject to their own licenses. We retain the right to display completed work in our portfolio and marketing materials unless you request otherwise in writing.
6. Website Security Services
While we apply industry-standard practices to protect and harden websites, no security measure is absolute. We do not guarantee that a website will be free from all vulnerabilities, attacks, downtime, or data loss. You are responsible for maintaining your own backups and credentials unless a maintenance plan that includes these services is in place.
7. Third-Party Services
Websites we build may rely on third-party services such as hosting providers, domain registrars, payment processors, and plugins. We are not responsible for the performance, availability, pricing, or policies of third-party services.
8. Warranties and Disclaimers
The Site and Services are provided “as is” and “as available.” To the fullest extent permitted by law, we disclaim all warranties, express or implied, including implied warranties of merchantability, fitness for a particular purpose, and non-infringement.
9. Limitation of Liability
To the fullest extent permitted by law, JR Secure Design shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits, revenue, data, or business opportunities, arising out of or related to your use of the Site or Services. Our total liability for any claim shall not exceed the amount you paid us for the Services giving rise to the claim during the twelve (12) months preceding the claim.
10. Indemnification
You agree to indemnify and hold harmless JR Secure Design from any claims, damages, or expenses (including reasonable attorneys’ fees) arising from materials you provide, your use of the Services, or your violation of these Terms.
11. Termination
Either party may terminate a project engagement as described in the applicable client agreement. We may suspend or terminate access to the Site or Services for conduct that violates these Terms or is otherwise harmful. Fees for work completed prior to termination remain payable.
12. Changes to These Terms
We may update these Terms from time to time. The updated version will be posted on this page with a revised effective date. Continued use of the Site or Services after changes take effect constitutes acceptance of the revised Terms.
13. Governing Law
These Terms are governed by the laws of the jurisdiction in which JR Secure Design operates, without regard to conflict-of-law principles.
